Acquisition expected to close in April 2026

NASHVILLE, TN – Rogers Group, Inc. (RGI), one of the nation’s largest privately owned construction aggregates and roadbuilding companies, announced today that Rockydale Quarries Corporation (RQC) and its subsidiaries, including B&S Contracting, Inc., has agreed to be acquired by RGI. The companies anticipate the transaction will close April 10, 2026, pending customary documentation, due diligence and closing conditions.

Founded in 1932 and headquartered in Roanoke, Virginia, Rockydale Quarries Corporation has built a strong reputation for highquality aggregates, environmental stewardship, and a deep commitment to the communities it serves. Over nearly a century, the company has grown into an influential regional producer with multiple strategic quarry locations and asphalt construction across Virginia; a legacy shaped by the Willis family’s leadership and dedication to safety and service.

This acquisition marks the 13th company Rogers Group has welcomed into its operations over the past two years, reinforcing the organization’s longterm growth strategy and continued commitment to serving communities. Rockydale Quarries and B&S Contracting’s 170 employees will join Rogers Group’s workforce of more than 3,400 employees, expanding RGI’s operational footprint to 13 states.

Upon closing, Rockydale’s ten locations including B&S Contracting will be integrated into RGI’s Carolinas and Virginia Strategic Market Area under the leadership of Daniel Littell, Vice President and Strategic Market Area Manager. Littell will oversee the alignment of business processes, safety programs, and operational strategies to ensure a smooth transition for employees, customers, and community partners. The current Rockydale management team will continue to lead day-to-day operations reporting to Daniel.

The acquisition will create new synergies between Rockydale’s established customer relationships and RGI’s extensive network of quarries, asphalt plants, and construction services. The combined operations will enhance supply reliability, improve regional service responsiveness, and support longterm infrastructure development across Virginia and surrounding states.
